Exclusive negotiations have commenced between the media conglomerate and the streaming behemoth for a potential sale of its core studio and streaming operations, a development that could dramatically alter the entertainment industry landscape.
A High-Stakes Competition
Netflix is reportedly competing against other major players like a rival studio and the cable giant, which owns significant media properties, for control of the iconic Warner Bros studio, the prestigious HBO network, and the HBO Max streaming platform.
According to reports Netflix has offered a hefty termination penalty of £3.7 billion should the deal not obtain necessary regulatory approval in the United States.
The Offer Details
As the company's stock currently trading at about $24, its overall market cap is estimated at around $60bn. Reports suggest Netflix's offer is between $28 and $30 per share, which suggests a potential deal worth in the neighborhood of $70 billion to $75 billion.
Industry experts have warned that this consolidation could trigger major antitrust concerns, as it would combine two of the largest subscription platforms in the American market.
Commitments and Corporate Restructuring
As part of its bid, the streamer has provided assurances that the legendary movie lot, home to iconic series like Batman and Harry Potter, would retain broad cinema distribution.
Prior to any potential deal closing, Warner Bros Discovery is planning to finalize a pre-arranged separation of its linear TV networks, which include TNT, TBS, and CNN.
A Content Juggernaut
Should the deal proceed, the buyer would become the owner of HBO, creator of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an extensive archive of classic television.
The studio officially began its auction in October after attracting overtures by multiple suitors.
Voices of Caution
This prospective deal has sparked controversy. Esteemed director James Cameron, director of Titanic and the Avatar series, stated this week that a Netflix acquisition could lead to a "catastrophic loss of long-term value" for the creative sector.
Initially, Paramount Skydance had been considered the early favorite. The company had also offered a $5bn termination fee if approval issues.
Allegations of an Unfair Process
This week, Paramount argued in a letter that its offer was the one most poised to gain regulatory clearance. Additionally, the studio alleged the seller of conducting an "unfair auction process" that unduly benefited its competitor, calling it "tainted" in official documents.
Representatives for Warner Bros, Netflix, Comcast, and Paramount have declined to comment on the ongoing negotiations.
